Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TimeGrid website (timegridworkforce.com) and the TimeGrid platform (the "Service"), provided by GomyDev LLC ("GomyDev," "we," "us"). By accessing the website or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

TimeGrid is a care-operations platform for home care and related settings, including electronic visit verification (EVV), scheduling, medication administration records (eMAR), compliance and credentialing, billing and authorizations, and a caregiver mobile app. We may improve, change, or discontinue features over time.

2. Accounts and eligibility

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. The Service is for business use by care organizations and their authorized staff, and it is not intended for consumers or children.

3. Customer data and protected health information

As between you and GomyDev, you own the data you put into the Service, including any protected health information (PHI). We process that data to provide the Service and as instructed by you. Where you use TimeGrid to handle PHI, our processing is governed by a signed Business Associate Agreement (BAA) and HIPAA. You are responsible for obtaining any consents and having the legal right to provide the data you submit.

4. Acceptable use

You agree not to: (a) use the Service unlawfully or to violate anyone's rights; (b) attempt to access data you are not authorized to access; (c) probe, scan, or breach security or authentication measures; (d) interfere with or disrupt the Service; (e) reverse engineer or copy the Service except as permitted by law; or (f) use the Service to build a competing product.

5. Fees

Paid plans are billed as described in your order or subscription. Pricing shown on the website is illustrative and subject to change; the amounts in your order form control. Fees are non-refundable except as required by law or expressly stated in your order.

6. Intellectual property

The Service, website, and all related software, content, and trademarks are owned by GomyDev or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. All rights not expressly granted are reserved.

7. Disclaimers

Except as expressly stated in a signed agreement, the website and Service are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, GomyDev will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

9. Indemnification

You will defend and indemnify GomyDev against third-party claims arising from your data, your use of the Service in violation of these Terms, or your violation of law or the rights of others.

10. Term and termination

These Terms apply while you use the website or Service. We may suspend or terminate access for violation of these Terms or to protect the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive.

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Texas, unless your signed agreement states otherwise.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Effective" date. Continued use of the Service after changes take effect constitutes acceptance.
